1. Introduction

Welcome to BDI Comic Deals. This User Agreement ("Agreement") is a legally binding contract between you ("you," "your," or "user") and BDI Comic Deals ("we," "our," "us," or "BDI"), governing your use of our website, services, and platform (collectively, the "Services").

By accessing or using our Services, you agree to be bound by this Agreement. If you do not agree to all the terms of this Agreement, you may not access or use our Services.

2. Account Registration

To access certain features of our Services, you must register for an account. When registering, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

You must be at least 18 years old to create an account. By creating an account, you represent and warrant that you are at least 18 years old.

3. Subscription Services

BDI Comic Deals offers various subscription plans with different features and benefits. By subscribing to one of our plans, you agree to the following terms:

• Subscription fees will be charged at the beginning of each billing cycle (monthly or yearly, depending on your selection).
• Subscriptions automatically renew unless canceled at least 24 hours before the end of the current billing period.
• You may upgrade, downgrade, or cancel your subscription at any time through your account settings.
• When downgrading, your current subscription will remain active until the end of the current billing period, after which the new subscription will take effect.
• When upgrading, we may prorate the charges for the remainder of the current billing period.
• Refunds are not provided for partial subscription periods.

4. Comic Grading Services

Our comic grading services are subject to the following terms:

• You represent and warrant that you are the lawful owner of any comics submitted for grading or have the owner's permission to submit them.
• You acknowledge that grading involves professional judgment and may involve subjective elements.
• We will exercise reasonable care in handling your comics, but you assume all risk of loss or damage during the grading process.
• Grading fees are non-refundable once the grading process has begun.
• Turnaround times are estimates and not guarantees.
• We reserve the right to refuse service for comics that appear counterfeit, restored, or otherwise misrepresented.

5. Marketplace Rules

When using our marketplace to buy or sell comics, you agree to the following:

For Sellers:

• You will provide accurate and complete descriptions of the items you list.
• You will not list counterfeit, illegal, or prohibited items.
• You will honor all sales made through our platform.
• You will ship items promptly and provide tracking information when available.
• You acknowledge that BDI will collect a commission on successful sales as outlined in our fee schedule.

For Buyers:

• You agree to pay the full amount for items purchased.
• You will not engage in fraudulent purchasing activities.
• You will communicate any issues with purchases through our platform's designated channels.

6. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Violating any applicable laws or regulations.
• Impersonating another person or entity.
• Submitting false or misleading information.
• Attempting to reverse engineer, decompile, or disassemble any portion of our Services.
• Using our Services to transmit malware, viruses, or other malicious code.
• Interfering with or disrupting the integrity or performance of our Services.
• Attempting to gain unauthorized access to our Services or related systems.
• Harassing, threatening, or intimidating other users.
• Using our Services for any illegal or unauthorized purpose.

7. User Content

You retain ownership of any content you submit to our Services, including images of comics, descriptions, and reviews. However, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute such content in connection with providing and promoting our Services.

You represent and warrant that you own or have the necessary rights to the content you submit and that such content does not infringe on the intellectual property rights or other rights of any third party.

8. Intellectual Property Rights

Our Services and all content, features, and functionality thereof, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, and the design, selection, and arrangement thereof, are owned by BDI Comic Deals, our licensors, or other providers and are protected by copyright, trademark, and other intellectual property laws.

You may not use, reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of our intellectual property without our express written consent.

9. Termination

We reserve the right to terminate or suspend your account and access to our Services at our sole discretion, without notice, for conduct that we believe violates this Agreement or is harmful to other users, us, or third parties, or for any other reason.

You may terminate your account at any time by contacting us or using the account deletion feature in your account settings. Upon termination, you will lose access to our Services, and we may delete your account information and content.

10. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

11. Limitation of Liability

IN NO EVENT SHALL BDI COMIC DEALS, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF OUR SERVICES.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO OUR SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

12. Indemnification

You agree to indemnify, defend, and hold harmless BDI Comic Deals and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to:

• Your use of our Services;
• Your violation of this Agreement;
• Your violation of any rights of another person or entity; or
• Your conduct in connection with our Services.

13. Dispute Resolution

Any dispute arising from or relating to this Agreement or our Services shall be resolved through binding arbitration conducted by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Divide, Colorado, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration, you waive any right to a jury trial.

14. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law principles.

15. Changes to this Agreement

We reserve the right to modify this Agreement at any time. We will provide notice of significant changes by posting the updated Agreement on our website and updating the "Last Updated" date. Your continued use of our Services after such changes constitutes your acceptance of the revised Agreement.
